PDQLY TECHNOLOGIES

Effective Date: AUGUST 13, 2025

Welcome to PDQLY TECHNOLOGIES. These Terms of Service (“Terms”) govern your access to and use of the website and technology platform located at pdqly.com (the “Platform”), operated by PDQLY (“PDQLY,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.


1. Platform Description

PDQLY TECHNOLOGIES is a technology platform that connects individuals and organizations seeking care-related tasks with independent service providers willing to perform those tasks.

PDQLY does not provide medical services, home care services, or caregiving services.

PDQLY does not employ service providers. All providers using the Platform are independent contractors.

PDQLY’s role is limited to facilitating connections and processing transactions between users and independent providers.


2. Independent Contractor Relationship

Service providers available through PDQLY are independent contractors and are not employees, agents, partners, or representatives of PDQLY.

PDQLY does not control:

  • how providers perform services
     
  • provider schedules
     
  • provider qualifications beyond information voluntarily provided
     
  • provider conduct during services
     

Users acknowledge that services are performed solely by the independent provider.


3. Eligibility

You must be at least 18 years of age to use the Platform.

By using PDQLY, you represent that:

  • the information you provide is accurate
     
  • you are legally able to enter into binding agreements
     
  • you will comply with all applicable laws
     

4. Service Requests

Users may request services through the Platform.

When a request is made:

  1. PDQLY may notify available independent providers.
     
  2. A provider may choose to accept the task.
     
  3. Once accepted, the provider is responsible for completing the requested service.
     

PDQLY does not guarantee provider availability or response times.


5. Payments

Users agree to pay all fees associated with service requests submitted through the Platform.

Payments may include:

  • service fees
     
  • task fees
     
  • mileage fees
     
  • applicable taxes
     

Payment authorization may be required before dispatching a service provider.

PDQLY may process payments using third-party payment processors.

All payments made through the Platform are non-refundable unless otherwise specified.


6. Cancellations

Users may cancel service requests subject to cancellation policies communicated at the time of booking.

Late cancellations or provider arrival may result in cancellation or service charges.


7. No Medical Advice

PDQLY is not a healthcare provider and does not provide medical advice.

Information provided on the Platform is for general informational purposes only and should not be considered medical guidance.

Users should consult licensed medical professionals for medical advice.


8. Provider Screening

PDQLY may request certain information from providers, such as background information, certifications, or service capabilities.

However, PDQLY does not independently guarantee:

  • provider qualifications
     
  • licensing
     
  • certifications
     
  • professional conduct
     

Users are responsible for evaluating whether a provider is appropriate for their needs.


9. User Conduct

Users agree not to:

  • misuse the Platform
     
  • provide false information
     
  • interfere with the operation of the Platform
     
  • attempt to bypass payment systems
     
  • engage in unlawful conduct
     

PDQLY reserves the right to suspend or terminate access for violations of these Terms.


10. Limitation of Liability

To the maximum extent permitted by law, PDQLY shall not be liable for:

  • actions or omissions of independent providers
     
  • injury, loss, or damages resulting from services performed
     
  • delays or service interruptions
     
  • third-party actions
     

Users acknowledge that all services are performed by independent providers and not PDQLY.


11. Indemnification

Users agree to indemnify and hold harmless PDQLY, its affiliates, officers, and representatives from any claims, damages, or liabilities arising from:

  • use of the Platform
     
  • services performed by independent providers
     
  • violations of these Terms
     

12. Platform Availability

PDQLY may modify, suspend, or discontinue any part of the Platform at any time without prior notice.

We do not guarantee uninterrupted availability.


13. Third-Party Services

The Platform may integrate with or rely on third-party services including:

  • payment processors
     
  • communication tools
     
  • analytics services
     

PDQLY is not responsible for the practices or actions of these third parties.


14. Intellectual Property

All content on the Platform including logos, text, graphics, and software is the property of PDQLY and protected by applicable intellectual property laws.

Users may not copy, reproduce, or distribute content without permission.


15. Changes to These Terms

PDQLY may update these Terms from time to time.

Updates will be posted on this page with a revised effective date.

Continued use of the Platform constitutes acceptance of the updated Terms.


16. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration Agreement and Class Action Waiver

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to the use of the PDQLY Platform, these Terms, or services requested through the Platform shall be resolved exclusively through binding arbitration, rather than in court.

Arbitration shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA).

Arbitration will take place in the State of California, unless otherwise mutually agreed by the parties.

The arbitrator shall have the authority to grant any remedy that would otherwise be available in court under applicable law.

Class Action Waiver

To the fullest extent permitted by law, users agree that:

Any arbitration or legal proceeding shall be conducted only on an individual basis.

Users waive the right to participate in:

  • class actions
     
  • class arbitrations
     
  • private attorney general actions
     
  • representative lawsuits
     

No arbitration or proceeding shall be consolidated with another claim without the consent of all parties involved.

Small Claims Exception

Nothing in this arbitration agreement prevents either party from bringing an individual claim in small claims court, provided the claim qualifies for that court’s jurisdiction.

Opt-Out Option

Users may opt out of this arbitration agreement by sending written notice within 30 days of first using the PDQLY Platform.

Electronic Consent

By using the PDQLY Platform, users acknowledge that:

  • they have read these Terms of Service
     
  • they understand them
     
  • they agree to be legally bound by them.
     

Users consent to receive notices and communications electronically through the Platform, email, or SMS messaging.


Force Majeure

PDQLY shall not be liable for failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to:

  • natural disasters
     
  • internet outages
     
  • acts of government
     
  • labor disputes
     
  • pandemics
     
  • transportation disruptions.
     

Platform Disclaimer

The PDQLY Platform is provided “as is” and “as available.”

PDQLY makes no warranties regarding:

  • the availability of providers
     
  • service completion times
     
  • provider qualifications or performance.
     

Users acknowledge that PDQLY is a technology platform only and does not supervise, direct, or control the services performed by independent providers.


Medical Disclaimer

PDQLY does not provide medical services or healthcare. Any health-related assistance provided by independent providers is performed solely at the discretion and responsibility of the provider and the user. PDQLY does not supervise medical care and does not guarantee medical outcomes.
